AGENDA ITEM: PROPOSED DISSOLUTION OF CONSORTIUM
The primary purpose of this meeting is for the Board of Directors to consider and act upon a proposal to dissolve the Morrow County Broadband Network Consortium effective June 30, 2026.

The Board will review the following:
• Formal Resolution: A resolution to authorize dissolution and terminate the Intergovernmental Agreement dated May 17, 2023.
• Appointment of Dissolution Managers: The naming of three individuals responsible for overseeing the wind-down of operations, including the payment of liabilities and distribution of assets.
• Financial & Operational Plan: A review of the Consortium’s current net position, projected final distribution of funds (estimated at 50% to Morrow County and 50% to the Port of Morrow), and the timeline for closing out state and federal grant obligations.
PUBLIC COMMENT
The Board will provide an opportunity for public comment regarding the dissolution and any other Consortium business. Interested persons may appear onlinie or submit written comments to the Managing Director at nick@catalyst.win by 5:00 PM on March 16, 2026.
